Guest Release & Terms Agreement

This Guest Release & Terms Agreement (“Agreement”) is entered into by and between Kali Wolken, Lookout Point Coaching (“Producer”) and the undersigned guest (“Guest”), effective date of signature, regarding Guest’s appearance on the When I Grow Up Podcast (“Program”).

1) Consent to Audio/Video Recording

Guest voluntarily agrees to participate in an on-camera and/or audio recorded conversation/interview for the Program. Guest consents to the recording of Guest’s voice, name, likeness, image, and statements (the “Recording”) via Zoom and/or other recording software.

2) Publication & Public Distribution

Guest understands and agrees Producer may publish, distribute, publicly display, publicly perform, reproduce, and otherwise use the Recording (in whole or in part) on public platforms and in any media now known or later developed, including without limitation:

YouTube

Podcast platforms (e.g., Apple Podcasts, Spotify, Amazon Music, etc.)

Producer’s website, email list, and social media (e.g., Instagram, TikTok, Facebook, LinkedIn)

Promotional clips, trailers, and highlight reels

Guest acknowledges that once published, the Recording may be shared, downloaded, commented on, or reposted by third parties beyond Producer’s control.

3) Editing

Guest agrees Producer may edit the Recording for length, clarity, audio/video quality, pacing, and to fit the needs of the Program and its audience (including creating short clips or excerpts). Producer may remove portions of the conversation and may rearrange segments for continuity.

Producer agrees not to intentionally alter or misrepresent what Guest said through deceptive editing. Guest understands that edits may remove context for time/formatting reasons, but Producer will not knowingly change the meaning of Guest’s statements.

4) Rights Granted / License

Guest grants Producer an irrevocable, perpetual, worldwide, royalty-free, transferable license to use the Recording and any derived materials (including excerpts, transcripts, captions, quotes, still images/frames, and promotional materials) for:

Producing and distributing the Program

Marketing and promoting the Program and Producer

Archiving episodes and maintaining access to prior episodes

5) No Compensation; No Future Claims to Revenue

Guest understands and agrees:

Guest’s appearance is voluntary and unpaid, unless otherwise agreed in writing.

Guest is not entitled to any compensation now or in the future.

If Producer (now or later) earns revenue from the Program or any portion of the Recording (including ads, sponsorships, affiliate income, subscriptions, donations, licensing, or other monetization), Guest will not seek or claim compensation, royalties, profit participation, or other payment related to Guest’s appearance or the use of the Recording.

6) Guest Representations

Guest represents that:

Guest is at least 18 years old and has the legal right to enter into this Agreement (or a parent/guardian will sign below).

Guest’s participation and statements are Guest’s own and are not restricted by any employer, contract, or confidentiality obligation.

Guest will not knowingly provide content that infringes another party’s intellectual property rights or violates any law.

7) No Obligation to Publish

Producer is not required to publish the Recording, and Producer may postpone, decline to release, or remove an episode at Producer’s discretion.

8) Release of Claims

To the fullest extent permitted by law, Guest releases and agrees to hold harmless Producer from any and all claims, demands, or causes of action arising out of the authorized recording, editing, publication, or use of the Recording, including claims related to privacy, publicity, defamation, or intellectual property, except to the extent caused by Producer’s fraud or willful misconduct.

9) Sensitive Information

Guest understands that the Program is public and agrees not to share sensitive or confidential information (for example: personal addresses, private phone numbers, employer confidential information, client details, login information, or trade secrets). If Guest later requests removal of a sensitive segment, Producer may consider the request but cannot guarantee removal once distributed or mirrored by third parties.

10) Governing Law (Michigan)

This Agreement is governed by the laws of the State of Michigan, without regard to conflict of laws rules. Any dispute arising under this Agreement shall be brought in the state or federal courts located in Ottawa County, Michigan, and the parties consent to jurisdiction there.

11) Entire Agreement

This Agreement is the entire understanding between the parties regarding Guest’s appearance on the Program and supersedes all prior discussions or understandings. Any modifications must be in writing and agreed to by both parties.
